Evolution Faces Mandatory Takeover Bid

A mandatory takeover process has been triggered for Evolution after its largest shareholder, Candle Lake Limited, increased its ownership to more than 30% of the company’s voting rights.

The move activates Sweden’s mandatory takeover rules. These rules require Candle Lake to either submit a formal offer for all remaining Evolution shares or reduce its stake below the regulatory threshold within four weeks.

Shareholder Crosses Regulatory Threshold

Candle Lake, the investment vehicle controlled by billionaire Kenneth Dart, acquired an additional 2.05 million Evolution shares. This raised its total holding to approximately 59.8 million shares, or 30.02% of the company’s voting rights.

Under Sweden’s Public Takeovers Act, any shareholder exceeding the 30% ownership threshold in a listed company must either make a mandatory offer to acquire the remaining outstanding shares. Alternatively, they must reduce their holding below the threshold within the prescribed period.

Candle Lake stated that its disclosure does not constitute a takeover offer at this stage.

Mandatory Bid Rules Now Apply

If Candle Lake proceeds with a takeover offer, Swedish regulations require the bid price to be no lower than the highest price paid for Evolution shares during the specified regulatory period. The offer must also include a cash alternative for shareholders.

Alternatively, the company may avoid the mandatory bid requirement by selling enough shares. This would reduce its ownership below 30% before the deadline.

The Swedish Securities Council may grant exemptions under limited circumstances. However, the mandatory bid requirement generally applies once the ownership threshold has been exceeded.

Evolution Continues to Navigate Market Challenges

The regulatory development comes as Evolution faces a more challenging operating environment. This follows its first quarterly revenue decline in more than a decade.

Despite softer recent performance, the company continues to generate strong profitability. This is supported by high operating margins, significant cash reserves, and an expanding presence in regulated markets. Growth in North America has partially offset weaker performance in Europe and Asia.

Evolution also continues its shareholder return strategy through an ongoing share repurchase programme. Meanwhile, investors await Candle Lake’s decision on whether it will pursue a full takeover or reduce its ownership below the mandatory threshold.
